Terms and Conditions

1. Introduction & Acceptance

These Terms and Conditions (“Terms”) govern your use of the services offered by Yeli Grocery Savings (Pty) Ltd (Registration No.: 2022/289943/07) (“Yeli”, “we”, “us”, “our”).

By registering for, accessing, or using any Yeli service, you (“Member”, “you”, “your”) confirm that you:

  • Are 18 years or older
  • Have the legal capacity to enter into a binding agreement
  • Agree to be bound by these Terms, together with our Privacy Policy, Refund Policy, and any applicable service-specific addendums

If you do not agree to these Terms, you may not use Yeli services.

2. Nature of Service (Important Clarification)

Yeli provides a prepaid grocery acquisition and distribution service.

You make advance payments that entitle you to a future allocation of groceries, subject to these Terms.

For avoidance of doubt:

  • Yeli is not a financial services provider
  • Yeli does not offer savings accounts, credit, loans, investments, or interest-bearing products
  • No interest accrues or is payable on any amounts paid to Yeli
  • Amounts paid are prepayments for goods, not deposits or financial instruments

3. Services Offered

Yeli currently operates the following active services only:

3.1 Yeli Stokvel (Individuals)

A prepaid grocery plan operating on:

  • 11-Month Cycle: Payments January–November, allocation in December (includes grocery and meat allocation)
  • Flex6 Cycle:
    • January–June (allocation in July)
    • July–December (allocation in January)
    Flex6 is grocery-only

3.2 Yeli Stokvel (Groups)

Operates on the same cycles as Individual plans, coordinated by a designated Group Leader.

3.3 Yeli Workforce

A grocery-only, 11-month prepaid cycle (January–November, allocation in December) offered to employees via participating employers.

3.4 Yeli Express

A prepaid online grocery store offered on a once-off basis, subject to product availability, without subscription, delivery guarantees, or future allocation obligations.

Any services not expressly listed above are excluded and not contractually offered.

4. Service-Specific Addendums (Legally Binding)

Certain Yeli services are subject to additional service-specific terms (“Addendums”).

These addendums:

  • Form part of these Terms
  • Are incorporated by reference
  • Are legally binding on all users of the applicable service

The current addendums are:

  • Group Leader Addendum: https://yeli.co.za/group-leader-addendum/
  • Yeli Workforce Addendum: https://yeli.co.za/workforce-addendum/

By participating in a service governed by an addendum, you confirm that you have read, understood, and agreed to that addendum.

If there is any conflict between these Terms and an addendum, the addendum prevails for that specific service.

5. Financial Terms

5.1 Monthly Prepayment Amount

Your fixed monthly prepaid amount is selected at registration and applies for the duration of the cycle.

5.2 Administration Fee

  • A fixed 20% administration fee is deducted from each payment to cover operational costs, including administration, supplier coordination, payment processing, and logistics.
  • This fee is non-refundable under all circumstances.

5.3 Allocation Value

The value of groceries you are entitled to receive in your allocation month equals:

Total prepaid amounts minus total administration fees

5.4 Late Joining

  • You may join an active cycle only until 30 June
  • All missed months from the cycle start must be paid immediately upon joining
  • No late joining is permitted after 30 June

6. Payment Failure & Account Management

6.1 January – 30 June (Suspension Window)

Failure to pay results in account suspension. You may:

  • Catch up all missed payments in full, or
  • Switch to a lower monthly amount (if eligible)

6.2 From 1 July (Automatic Pause)

Failure to pay results in an automatic 12-month pause:

  • No catch-up payments allowed
  • No plan changes allowed
  • Any prepaid value (minus fees) is held for the next eligible cycle only and is non-refundable

Second Pause Forfeiture Rule:
If, after resuming, you fail to pay again or cancel, all previously held value is forfeited.

7. Allocation, Collection & Goods

  • Yeli will notify you of collection date, time, and location
  • You are responsible for collection
  • Failure to collect may result in forfeiture
  • Yeli may substitute products with items of equal or greater value
  • Risk and title pass to you upon collection

8. Cancellation & Termination

  • Cancellation is permitted by written notice
  • Financial consequences are governed by the Refund Policy
  • Yeli may terminate memberships for material breach of these Terms

9. General Legal Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and applicable addendums, constitute the entire agreement
  • Amendments: Continued use after updates constitutes acceptance
  • Governing Law: South African law, including the Consumer Protection Act, 2008
